Shiny Reviews Terms of Service Agreement

1. Introduction

These Terms of Service ("Terms") constitute an agreement between you ("You" or "User") and Shiny Reviews ("We," "Us," or "Company") regarding your use of the Shiny Reviews platform, including the API and all associated services (collectively, the "Service").

2. Acceptance of Terms

By accessing or using the Service, you affirm that you have read, understand, and agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service.

3. Eligibility

To use the Service, you must:

  • Be at least 13 years of age.
  • Be a human (accounts registered by “bots” or other automated methods are not permitted unless authorized by Shiny Reviews).
  • Not be currently restricted from the Service.
  • Not be a competitor of Shiny Reviews or using the Service for reasons that are in competition with Shiny Reviews.
  • Have full power and authority to enter into this Agreement and doing so will not violate any other agreement to which you are a party.

4. Right to Use the Service

Subject to your compliance with these Terms, Shiny Reviews grants you a limited, revocable, nonexclusive, nonassignable, nonsublicenseable right to access and use the Service for your internal business purposes only. This includes the right to:

  • Store product reviews via the API.
  • Filter and sort the reviews.
  • Add new reviews.
  • Perform analysis on the stored data.

Any other use of the Service is strictly prohibited and a violation of these Terms.

5. Subscription and Fees

Access to the Service is provided on a paid subscription basis. You agree to pay all fees associated with your subscription plan. Shiny Reviews reserves the right to modify or change the fees at any time, with such changes effective upon posting on the Shiny Reviews website or by direct communication to you.

6. User Content

By posting or submitting any content ("User Content") through the Service, you grant Shiny Reviews a worldwide, non-exclusive, perpetual, irrevocable, royalty-free, fully paid, sublicensable, and transferable license to use, modify, reproduce, distribute, display, publish, and perform the User Content in connection with the Service. You represent and warrant that you have the necessary rights to grant this license.

7. Restrictions on Use

You shall not:

  • License, sell, rent, lease, transfer, assign, distribute, host, or otherwise commercially exploit the Service or any content displayed on the Service, whether in whole or in part.
  • Modify, make derivative works of, disassemble, reverse compile or reverse engineer any part of the Service.
  • Access the Service to build a similar or competitive website, product, or service.
  • Copy, reproduce, distribute, republish, download, display, post, or transmit any part of the Service in any form or by any means, except as expressly permitted in these Terms.

8. Disclaimer of Warranties

The Service is provided on an "AS-IS" and "AS AVAILABLE" basis. Shiny Reviews and its suppliers disclaim all warranties and conditions of any kind, whether express, implied, or statutory, including all warranties or conditions of merchantability, fitness for a particular purpose, title, quiet enjoyment, accuracy, or non-infringement.

9. Service Availability

Shiny Reviews may modify, update, interrupt, suspend, or discontinue the Service at any time without notice or liability. Shiny Reviews has no obligation to update, improve, maintain, or make available the Service.

10. Indemnification

You agree to indemnify and hold harmless Shiny Reviews, its officers, directors, employees, agents, and affiliates from any claim, demand, or damage, including reasonable attorneys' fees, arising out of or related to your breach of these Terms or your use of the Service.

11. Changes to Terms

Shiny Reviews may modify these Terms from time to time. The most current version of the Terms will be located on the Shiny Reviews website. Your continued access to or use of the Service after the effective date of changes to the Terms represents your acceptance of such changes.

12. Termination

Shiny Reviews may terminate or suspend your access to the Service at any time, with or without cause, and with or without notice. Upon termination, your right to use the Service will cease immediately.

13. Governing Law

These Terms will be governed by and construed in accordance with the laws of the United States, without giving effect to any principles of conflicts of law.

14. Dispute Resolution

Any disputes arising out of or related to these Terms will be resolved through a Dispute Resolution Process.

15. Entire Agreement

These Terms constitute the entire agreement between you and Shiny Reviews regarding the use of the Service and supersede any prior agreement between you and Shiny Reviews on such subject matter.

16. Severability

If any provision of these Terms is held to be invalid or unenforceable, the other provisions of these Terms will be unimpaired and the invalid or unenforceable provision will be deemed modified so that it is valid and enforceable to the maximum extent permitted by law.

By using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service.
